Small Commercial License Agreement

This Small Commercial License Agreement (the "Agreement") is entered into between LiquidPrints, an Illinois registered business, hereinafter referred to as the "Licensor," and the purchaser of the small commercial license, hereinafter referred to as the "Licensee."

  1. Grant of License:
  • Subject to the terms and conditions of this Agreement, the Licensor hereby grants the Licensee a limited, non-exclusive, non-transferable license to use the digital product (the "Product") for small-scale commercial purposes.
  1. Permitted Uses:
  • The Licensee is permitted to use the Product for small-scale commercial use, including but not limited to incorporating it into physical products, marketing materials, and promotional content.
  1. Prohibited Uses:
  • The Licensee is expressly prohibited from sharing, reselling, or redistributing the files of the Product in any form or format.
  • The Licensee is prohibited from mass-producing the physical products created with the Product. Mass production is defined as exceeding 1500 units.
  1. Non-Exclusive Rights:
  • This license does not grant the Licensee exclusive rights to the designs. The designs will remain available for other customers to purchase.
  1. Commercial Use License Upgrade:
  • If the Licensee wishes to produce more than 1500 units of the physical products, they must contact the Licensor to discuss and purchase an extended Commercial Use License. The extended license will specify the increased usage rights and any additional terms.
  1. Copyright and Ownership:
  • The Licensor retains all copyrights and ownership of the Product. This license does not transfer any intellectual property rights to the Licensee.
  1. Termination:
  • This license is effective until terminated. The Licensor reserves the right to terminate the license if the Licensee breaches any terms of this Agreement. Upon termination, the Licensee must cease using the Product and destroy any copies of the files.
  1. Governing Law:
  • This Agreement shall be governed by and construed in accordance with the laws of Illinois. Any disputes arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Illinois.
  1. Agreement Acceptance:
  • By purchasing the Small Commercial License, the Licensee acknowledges and agrees to abide by the terms and conditions of this Agreement.
